契約書翻訳には、いくつもの「例外」、「否定」の意味を表す単語・用語が使われます。前回に続き「例外」、「否定」の意味を表す英語の単語・用語の代表的な言葉をリストアップして、改めてそれらの意味と簡単な使い方を確認し、英文契約書での使われ方について作成した例文（簡単なもの）を通して、契約書翻訳の視点からみてみます（思いついたものに関しては英文契約書以外の使われ方も含めます）。
ここでとりあげた言葉の意味と用法については、このブログの趣旨である英文契約書について「覚えておくと便利」という趣旨に合わせて、限られた意味と用法のみをとりあげています。訳文はすべて暫定訳です（法律文を除く）
5. unless: 条件を示す接続詞「～でない限り」、「～しない限り」または、例外を示す前置詞として「〜を除いては」、「〜以外に」の意味で使われます。英文契約書では、otherwiseと組み合わされて成句を作ります。例えば、Unless otherwise specified in this Agreementは、「本契約において別に定められた場合を除いて・・・；本契約において別段の定めがない場合を除き」など意味で使用されます。
似たような意味（「〜を除いては」、「〜以外に」）でのいくつかの使われ方のパターンとしては、「Unless otherwise stated ～」、「Unless otherwise noted ～」、「Unless otherwise agreed in writing」、「Unless otherwise provided for in ～」、「Unless the context requires otherwise」、「Unless the context requires otherwise」などがあります。Unlessを使った文章では、基本的に前提となる文があり、その中で例外的要素を強調するというパターンが一般的です。和文英訳の際など、使い勝手が良いフレーズで覚えておくと便利です。いずれも、まず日常的な文章では使われることはないと思われます。
Unless the context otherwise requires, words importing the singular include the plural and vice versa, words importing a gender include every gender.（文脈上他の意味に解すべき場合を除き、単数を意味する文言は、複数を含み、逆も同様であり、性別を意味する文言は、すべてのその他の性別を含む）
6. except:
「例外」を表す場合に用いられます。「except〜（〜を除いて）」のほか、他の語と組み合わされて成句として使われます（例：except + 動詞の原形「～する以外は」、except + to + 動詞の原形～「～する以外は」、except for：「～を別にすれば、～以外の点では」、except from「～から除外する」、except that～「ただし、～を除いて＝unless」、except where～「～の場合を除き」、except when「～の時以外は、～の時を除き」、except as「〜を除き」、except as otherwise等）
Except as set forth in this Article, the Seller shall not disclose any and all information provided by the Buyer. (本条に規定する場合を除き、売主は買主から提供されたあらゆる情報を開示しない)
Except as otherwise provided herein, neither party may unilaterally terminate this Agreement.（本契約によりその他特段の定めがある場合を除き、いずれの当事者も、一方的に、本契約を解除することはできない。）
＊unlessとexceptについては、以前にとりあげたことがありますが、改めてまとめてみました。
7. If not：ifの否定文でunlessとほぼ同じ表現として扱われています。
辞書では「もし…でないとするなら」、「…でないとしても」などと書かれていますが、
You will catch cold if you don’t wear warm clothes today.
You’ll be late for a school tomorrow if you are not going to bed early.
The parties hereto may lose the rights under this Agreement if not exercised the said rights.
（本契約の当事者は、当該権利を行使しなかった場合、本契約に基づく権利を失うことがある）
The Contractor shall keep, or shall cause its subsidiary or affiliate to keep the Confidential information of the Customer, if not, the Customer may immediately terminate this Agreement at any time（契約者は、顧客の機密情報を保持し、その子会社または関連会社に保持させるものとする。そうでない場合、顧客はいつでも直ちに本契約を解除することができる）これは、やや無理がある例文ですが、こんな感じになるようです。
8. nor: 否定を表す接続詞で、「〜もまたない」という意味です。通常、否定文の中で二つ以上の要素をつなげる際に使用されます。
I don’t like apples nor oranges.
This rule shall not apply to seasonable workers nor contract workers.
これは、「This rule shall not apply to seasonable workers or contract workers.」でも可です。
そのほか、neitherまたはnotと相関的に使われます。
He neither drinks nor smokes.
英文契約書でも、例えば、Neither the Contractor nor its subsidiary or affiliate must deal with the Antisocial Fores for any reason.（請負業者およびその子会社または関連会社は、理由を問わず、反社会的勢力と取引を行ってはならいものとする。）
これらのような使い方のほかに例えば、以下のように使われることもあります。
No money shall be expended, nor shall the State obligate itself, except as authorized by the Diet.（国費を支出し、又は国が債務を負担するには、国会の議決に基くことを必要とする。）（日本国憲法第85条）
なを、単語「No」を使った否定については、以前、「英文契約書における独特の用語、構文（その20）「no event shall」、「英文契約書の用語、構文（その21）文頭の否定」および「英文契約書における文頭の否定（その2）」において、例えば、In no event shall ABC Corporation be liable for any damages caused by or in relation to this Service.、Nothing in this Agreement shall be construed as creating ……….とかNone of the parties may assign or transfer any of its or their rights or obligations under this Agreement.などの作成した例文を載せてあります。
いままで述べてきたほかにも「例外」、「否定」の意味を表す単語・用語は多くありますが、とりあえず、覚えておくと便利な言葉のいくつかをとりあげてみました。機会があればそのほかの単語・用語についても取り上げてみたいと思います。なを、内容を参考にされる場合は、辞書・専門書をご確認の上、ご自身の責任でお願いします。
