英文契約書（法律文書）の特有の用語・言い回しの一部をなす、いわゆる、リーガルジャーゴン（Legal Jargon）と称されるものの中には（これらの言葉は契約書に限らず、他の分野でもそれなりに使用されますが）、ラテン語やフランス語などからの用語が使われていることがあります。例えば、“pari passu”、“mutatis mutandis”、“in lieu of”、“ipso fact”、“per annum”、“pro rata”、”inter alia”、”force majeure”、“bona fide”等、そのほかにも種々あります。契約書翻訳の観点から見てみます。
今回は、英文契約書でよくみかける「in lieu of」、「mutatis mutandis」、「pro rata」の意味や使われ方についてみてみます。
1. in lieu of（～の代わりに）
英語で言えば「instead of（まれに、in stead ofもあります）」に相当します。英文契約書では、いろいろな場面でかなり見受けられる用語です。
The warranty is in lieu of all implied warranties.
（本保証は、すべての黙示的保証に代わるものである。）
上記のように、損害賠償の規定において、他の救済に代わるすべてであることを確認する場合に、好んで使われることがあるようですが、実際には、すでに述べたようにいろいろな場面で使われます（下記参照、ほんの一例です）。

（特別会合に代わる株主の書面による同意による措置）
In lieu of such payment, the Reseller may, at the time the order is submitted, provide the Seller with an exemption certificate satisfactory to the authority imposing the tax, fee or charge.
（当該支払いの代わりに、再販売業者は、注文を行う時点で、売主に税金、料金または科料を課す当局が納得する免責証明書を提出することができる。）
2. mutatis mutandis（準用する）
経験的には、どちらかと言えば契約書よりも、法律やその他の法律文書でよく見かけます。辞書によっては、「必要な変更を加えて」などと記載されていることもあります。
The meetings and proceedings of each committee of directors consisting of 2 or more directors shall be governed mutatis mutandis by the provisions of the Articles regulating me proceedings of directors so far as the same are not superseded by any provisions in the Resolution of Directors establishing the committee.
（2名またはそれ以上で構成される各取締役委員会の会議と手続きは、当該委員会を設置した取締役の決議の条項により、同様な事項が破棄されない限り、取締役（会）の手続きを規律する会社定款の条項を準用する。）
The provisions of the preceding two paragraphs shall apply mutatis mutandis to the cases where the delivery of the currency of a foreign state is the subject of the claim.
前二項の規定は、外国の通貨の給付を債権の目的とした場合について準用する。（民法）

3.pro rata（比例して、案分して、割合に応じて）
英語では「proportionally」に相当します。pro rata allocation 「比例配分」のように使われることもあります。
Sellers acknowledge and agree that, each Seller selling Shares and/or Options to Buyer will receive its pro rata portion of the Purchase Price.
