契約書翻訳をしていると英文契約書に「Survival」、「Survival of Certain Provision」、「Survival of Terms」、「Survival Provisions」などと題された条項を目にすることがあります。「存続条項」とか「Survival条項」とか称されています。呼称の仕方はともかくも、契約が解除されたり、または満了した場合でも、ある特定の条項の効力を存続させたい場合などに記載されます。存続させる条項について良く目にするのは、守秘義務とか機密保持、義務、表明とか保証に関するものですが、契約によりさまざまなものがあります。また、特に「Survival」と題する条項がない場合でも、ある条項に内容の一部として契約の解除・満了後もその条項の効力を存続させる旨の記載があることがあります。作成した簡単な例文を通していくつかの用例をみてみます。
1. 機密保持義務の存続
The obligations of the Confidentiality of the Receiving Party under this Agreement shall survive the expiration or termination of this Agreement.
2. 義務の存続
All obligations set forth in this Article shall survive the termination or expiration of this Agreement for any reason whatsoever.
上記、1，2とも、存続させる対象が異なるだけで、内容的は似たようなものです。
3. 表明や保証の存続
The representations and warranties of the parties hereto contained in or made pursuant to this Agreement shall survive the termination or expiration of this Agreement.
All warranties hereunder will survive the manufacturer’s Products and/or any products incorporating the manufacturer’s Products after change, termination or expiration of this Agreement.
4. 存続させる特定の条項や事柄を項目ごとに列記
The following terms will survive termination or expiration of this Agreement:
- xxxxxxx,
- xxxxxxx, and
- xxxxxxx
本題とは関係ないのですが、上記例文に、「shall」と「will」を使いましたが、基本的に効力に差はないとされていますが、「will」よりも「shall」が好まれる傾向があるようです。
とりあえずこれも覚えておいて損はない事柄について簡単に見てみました。契約によりさまざまなものがあります。英文契約書について「Survival」に関連する実際の記述は、例文のように簡単な内容もありますが、時としてかなり複雑な構成の構文を目にすることがあります。翻訳に際しては経験や能力が問われる部分です。
