契約書翻訳の視点から英文契約書翻訳の際によく目にする「define」、「set forth」についてみてみます。前回の「英文契約書の用語・単語 「規定する」の表現（その2）」続きです。前回は、「stipulate」、「prescribe」」についてでした。
1. defineについて
契約書に限らず、分野を問わず「定義する」とか「明確にする」という趣旨の意味で知られている場合が多いと思います。文脈的に「規定する」とされることがあります。
defineは、言葉として固いイメージがありますが、日常の文章や会話でも良く使われています。
Bad diet such as dietary restriction only is definitely bad habits
He definitely needs some money for taking leave for vacation.
Self-defining your health without medical involvement is not an easy task. (医療の関与なしに自分の健康を自己定義することは簡単なことではありません。)
There were some defining moments between Japan and U.S in final round of MLB tournament. (MLBトーナメントの最終ラウンドで、日米の間に決定的な瞬間がいくつかありました)
Language is meant to have a definite meaning for a word or that word is sometimes meaningless in some situations.（言語は、単語に対して明確な意味を持つように意図されているが、その単語は、時としてある状況ではその単語は無意味になってしまう）
Supervisors must define key management roles of his or her subordinates.
英文契約書の例を作成した例文でみてます。いずれも文脈的な観点からその時々で「定義する」、「規定する」、「定める」等とします。
This paragraph shall in no way define, limit, extend, or aid in the construction of the scope, or intent of this Agreement.（本項は、本契約の範囲または意図の解釈に対する一切の定義、限定、拡張もしくは支援を行うものではない）
The manufacturer will periodically re-define the concept of and improve the performance of the products according to the specifications based on this Agreement. (本契約に基づく仕様に従って、定期的に製品の概念を再定義し、製品の性能を向上させる)
The Contractor and the Customer may revise or newly define the rights and obligations contained in this Agreement in writing based on coordination between the parties. （契約者と顧客は、当事者間の協議に基づいて、書面により本契約に記載の権利と義務を改訂または新たに規定することができる）
The purpose of this Memorandum is to establish an appropriately responsibility, authority and interrelation of all relevant personnel and define the independence and authority to perform the tasks herein.（この覚書の目的は、すべての関係者の責任、権限、および相互関係を適切に確立し、本覚書におけるタスクを実行するための独立性と権限を規定するものである）
2. set forthについて
「規定する」という意味ももちろんありますが、単に「記載されている」、「記載する」、「説明する」とすることもあります。
There are no restrictions, promises, covenants, or understandings between the parties hereto other than those expressly set forth in this Agreement。(本契約に明示的に規定されているものを除き、本契約の両当事者間に制限、約束、誓約、または了解はない)
The parties hereto shall comply with the requirements set forth in schedule attached to this Agreement. (本契約の両当事者は、本契約に添付のスケジュールに記載の要件を順守する)
For the purpose of this Agreement, the following terms have the meanings set forth below（本契約の目的において、以下の文言は、以下に規定する意味を有する。）
「set forth」は、正確には、「set forth」の前に「which is (are)」がつきますが、多くの場合、「which is (are)」は省略されるせいか、「which is (are) set forth in」と書かれているものはほとんどみかけません。
Either party may terminate this Agreement by giving a written notice to the other party even in the middle of the period set forth herein if a party violates the provisions thereof.（いずれかの当事者が本契約の規定に違反した場合、本契約に定める期間の途中であっても、相手方に書面による通知を行うことにより、本契約を解除できる）
「define」、「set forth」についてみてきました。契約書翻訳の観点からは、このような場合には、このような表現を使うという観点から見てゆく方法がありますが、このブログは、とりあえず覚えておくと便利というところで、場合によりメモ的な感覚で書いています。内容を参考にされる場合は、辞書・専門書をご確認の上、ご自身の責任でお願いします。
