契約書翻訳や法律文書の翻訳をおこなっていると良くお目にかかるのが「委託」と「受託」という言葉です。
このブログは、以前書いた英文契約書の単語・用語 entrust（entrustment）による委託と受託（「まかせる」と「引き受ける」）の表現（その1）と（その2）に加筆、修正しものです。
まず、特に「entrust」とentrustの名詞形「entrustment」を使用した「委託」と「受託」の表現を中心に契約書翻訳の観点から見てゆきます。「委託」と「受託」は、下にも書きましたが、普通の言葉で言えば、「まかせる」と「引き受ける」ということです。これらの単語の主な意味としては、「entrust: 任せる、委託する、委任する、預ける、信託する」。「entrustment: 委託」です。「委託」に対応する言葉は、「受託」です。「委託」という言葉が使われる「業務委託契約」などは、翻訳依頼が多い契約の1つです。契約書翻訳の観点から見てみます。例文はいずれも当方で作成したものです（法律の条文を除く）。
「委託」と「受託」の意味を改めて法律用語辞典でみると、
「委託：一般的に法律行為または事実行為を他人または他の機関に依頼すること……。」
「受託：一般的に委託、委嘱、あるいは請託を受けること……。」とあります。
難しく考えなくても国語辞典を見ると、「委託：ゆだね任せること、人に頼んで代わりにやってもらうこと」、「受託：頼まれて引き受けること。」とあります。
ここではそれぞれに使用される単語の知っておいて損はない具体的な用例の一部をとりあげます。
1. 「entrust」と「entrustment」他を使用した「委託」の表現
「委託」や「委託する」を表す単語は、「entrustment」と「entrust」の他にも、trust、 consignment、charge、commission、delegate等多くの単語がありますが、これらについては後述します。
ここでは「entrust」を中心に作成した例文を通していくつかの用例を見てみます（法律の条文を除く）。
なを、「entrust」を使った「委託する」の表現のパターンは、例えば「A person entrusts someone with something」、「A person entrusts something to someone」などです。
I entrust my business with him.(自分の仕事を彼に委託する)
I entrust him to my business .(自分の仕事を彼に委託する)
Party A shall entrust Party B with the sales of Party A’s products (hereinafter referred to as “Products”) for areas designated by Party A. (当事者Aは、当事者Aが指定した地域での当事者Aの製品（以下「製品」という）の販売を当事者Bに委託する)
Payment date and method are entrusted with the Board of directors. (支払日と支払方法は取締役会に委任されている)
Party A shall not entrust all or part of Party A’s business related to this Project to any third party without a prior written consent by Party B.(甲は、乙の事前の書面による承諾無しに、本プロジェクトに関連する甲の業務の全部若しくは一部を第三者に委託してはならない。)
A trust company may entrust a third party with part of its trust services as regards trust property that has been placed in trust with it only if all of the following requirements are fulfilled:（信託会社は、次に掲げるすべての要件を満たす場合に限り、その受託する信託財産について、信託業務の一部を第三者に委託することができる。）（信託業法）
A prefectural governor, etc. may delegate custody of dogs and cats to an organization established for the purpose of animal welfare. （都道府県知事等は、動物の愛護を目的とする団体その他の者に犬及びねこの引取りを委託することができる。）（動物の愛護及び管理に関する法律）
The Seller shall entrust the customs clearance of the Goods to the local agent. （売主は商品の通関手続きを現地代理店に委託する）。

「entrust」の代わりに「trust」を使用することもできますが、一般的には「entrust」が使用されています。
2. 「entrust」と「entrustment」他を使用した「受託」の表現
「受託」を１語で表す単語は、trust、requisition、contract等があるようですが、「entrust」使った「受託する」の表現は、例えば「be entrusted with something」等となります。この場合「受託する」は「～を任せられる・～を委託される・委託を受ける＝～受託する」と表現されます。trustを使う場合は、「be given something in trust」。
例えば、 A person who is entrusted with the services under paragraph (1) may not entrust the entrusted services to another person.（第一項の規定により業務の委託を受けた者は、当該委託に係る業務を再委託することができない。）（金融商品取引法）
entrusting or becoming entrusted with one of the acts listed in the preceding items, or undertaking a request to brokerage such entrustment.(前各号のいずれかに掲げる行為の委託をし、又はその受託をし、若しくはその委託の取次ぎを受託すること)（商品先物取引法）(http://www.japaneselawtranslation.go.jp/kwic/?re=01)
The sales agent shall be entrusted with sales of the Products based on this Agreement within the sales territory. (販売代理店は、販売地域内での本契約に基づく製品の販売を委託される）
The executive officer (who is) entrusted with the day‑to‑day management shall be appointed by annually meeting of the board of directors. (日常の管理を委託された執行役員は、毎年、取締役会により任命される)
The Customer shall entrust the Service provieded for in this Agreement to the Contractor and the Contractor shall undertake it. （顧客は、本契約の規定のサービスを請負業者に委託し、請負業者はこれを受託する）
３. 委託者・受託者他の表現
１) 委託者・受託者について
「委託」と「受託」についての表現のいくつかを見てきましたが（上記のほかにも様々な表現があります）、次は、「委託者=委託する何かを頼む人」と「受託者=委託を受ける人」です。いずれも「人」や「会社」や「業者」あるいは「団体」である場合があります。いずれも適宜、それらに合わせた表現が求められます。
まずは、「entrust」から派生して「委託者」を表す単語は、「entrustor」、「受託者」を表す単語は、「entrustee」です。「trust」から派生した「trustor＝委託者」「trustee＝受託者」も多く使われます。
In case of an application for the indication of trust property with regard to shares or for the cancellation thereof, the trustor or the trustee shall file the application in the form designated by the Company together with the share certificates.（株式に関する信託財産の表示又はその抹消を請求するときは、委託者又は受託者は、当社所定の請求書に株券を添えて提出するものとする。)
2）委託・受託に関する言葉には、上記のほかにも例えば「委託先」、「委託先業者」、「委託先会社」、「再委託先」、「再委託先会社」等、日常的に使われますが、辞書にはあまり見当たらないような言葉があります。その中のいくつかについて見てみます。
まずは、「委託先」について、「～先」については、以前「英文契約書の用語・単語 日本語の「～先」の表現について（その1）」https://www.ings-web.co.jp/archives/5120でとりあげたことがあります。「委託先」もいくつかの表現がありますが、例えば、「a party entrust with business」とか「an entrusted party」、「an entrusted person」,「a party receiving entrustment of business」または単にすでに述べた「trustee」など考えられます。再委託は、「re-entrustment」、「further entrustment」などがあります。「委託先業者」、「委託先会社」は、「委託先業者」は、例えばですが、「the contractor to whom the business is entrusted」などはどうでしょうか。「委託先」は「a party that is further entrusted with business/ a party further entrusted with business」なども考えられます。これら以外にも多くの様々な訳があります。
if the relevant person has further entrusted bank agency services (limited to cases in which an entrusting bank agent that is itself a bank has further entrusted a person with the services), and changed the trade name or name and the location of the main business office or office of the secondary bank agent to which the services have been further entrusted.（銀行代理業を再委託した場合（銀行である銀行代理業再委託者が再委託した場合に限る。）であつて、当該再委託を受けた銀行代理業再受託者の商号、名称又は氏名及び主たる営業所又は事務所の所在地を変更した場合）（銀行法）https://www.japaneselawtranslation.go.jp/en/kwic
３）「entrust」と「entrustment」他を使用する以外の言葉による委託者・受託者の表現
まず、「委託者」を表す単語には、settlor、consignor、assignor等があります。この中で、consignorは、主に「販売・運送等の委託」、settlorは、「信託」、に関連するものに多く使用されるようです。そのほか、委託者とされても、例えば、assignorは「財産・権利当の譲渡人・委託者」とされます。
なを、例えば、client: 依頼人、customer：顧客、依頼人等も、「何らかの物事を依頼する人」という意味がある場合、委託者とされることがあります。その意味では「委託者」という言葉は、広い意味で使用されるようです。例：調査会社の顧客（調査会社に調査を頼む人=依頼人）＝委託者。
面倒なのは、日本語で「委託」とい言葉が使われている存在でも、その内容を見ると「受託者」であることがあります。例：委託先（委託を依頼する相手）＝受託者（委託をうける側＝委託を受けた者）。英訳に際しては注意が必要です。
This Agreement stipulates the conditions that the person is entrusted with the food service on behalf of the food service provided by the Contractor.（本契約は、請負業者が提供するフードサービスに代わってフードサービスを委託した者（フードサービスの委託先）が行う条件を規定しています。）
The competent minister may have officials of the Ministry enter the office, factory, workplace, or warehouse of an automobile manufacturer, etc. or an entrustee and inspect the books, documents, and other objects pursuant to the provisions of Cabinet Order to the extent necessary for the enforcement of this Act, …………（主務大臣は、この法律の施行に必要な限度において、政令で定めるところにより、その職員に、自動車製造業者等又はその委託を受けた者の事務所、工場、事業場又は倉庫に立ち入り、帳簿、書類その他の物件を検査させることができる。）(使用済自動車の再資源化等に関する法律)
Entrustee shall, at all times during the Term and thereafter of this Agreement, keep all of such confidential information in confidence and trust. （受諾者は、本契約の期間中ならびにその後においても常に、当該機密情報のすべてを機密として保持し、かつ保管するものとする。）
If Party A entrusts the business process related to this Agreement to any third party, the provision under this Article shall be applicable to the entrusted party.（甲が、本契約にかかわる業務処理を第三者に委託する場合においても、その委託先に対し本条の定めが適用されるものとします。）
2.「entrust」を使用する以外の「委託」の表現と「委託」に準じた表現を持つ単語
これまで「entrust」と「entrustment」他を使用した「委託」と「受託」や「委託者」、「受託者」等の表現について簡単に見てきました。ここからは、「entrust」を使用する以外の「委託」、「受託」の表現」について見ていみます。
和英辞典を見ると「委託」を表す単語は、「entrust」以外にも幾つかあります。調べたところこれらに共通しているのは、例えば、「委託」と訳される場合、冒頭に書いたように「委託：ゆだね任せること」から「ゆだねる」の意味を持って使われるときに「委託」と訳され、時として「委任」と訳されるようです。いずれも多義語で様々な意味もっています。その中のいくつかを見てみます。
1) trust
trustは、様々に意味を持つ多義語ですが、その中でも「信頼（安心）してまかせること」という意味合いで「保管」、「管理」をはじめ、ときとして「委託」の意味合いで使われることがあります。
He trusts the money to the bank. (お金を銀行に預ける)
I can trust you to do this work. (あなたにこの仕事を任せられます)
ただし、このような場合、普通は「entrust」が多く使われます。
He entrusts the money to the bank.
I can entrust you to do this work by yourself
This development was accomplished under the trust from the Government.（本開発は、政府から委託を受けて実施されました）
2) consign、consignment
Consignmentは、主に商品や貨物にかかわる委託：委託(販売)、託送、委託貨物、積送品、送り荷、委託販売品等にかかわって使用されるようですが、広義の「委託」として使われることもあるようです。
The company consigns the product.（会社は、商品を委託販売する）
Product Consignment Sales Agreement.（商品委託販売契約）
A document shall be delivered prior to conclusion of consignment contracts.（受託契約の締結前に、書面を交付するものとする）
3) commission
Commissionは、委託の意味で使われる場合、主に職権、職務、権限の委託・委任の意味で使われます。以下は、「～に権限を委託する」の動詞の例文です。
We commission him to negotiate on the matter.（その問題について彼に交渉を委託した）
Local government commissions the design of citizen hall to a private company.（地方自治体は、市民会館の設計を民間企業に委託している）
Committee members shall be commissioned by the Chairperson.（委員メンバーは、委員長が委嘱する）
4) delegate
Delegateは、委託の意味で使われる場合、多くはdelegation of authority: 権限の委任（または移譲）の意味で使用されます。
The Prime Minister shall delegate his/her authority under this Act (excluding that specified by Cabinet Order) to the Commissioner of the Financial Services Agency.（内閣総理大臣は、この法律による権限（政令で定めるものを除く。）を金融庁長官に委任する。）（銀行法）
This delegation is still pending approval.（この委任はまだ承認待ちの状態です）
5) mandate
We will mandate as an auditor of our company to you.（あなたを当社の監査役に任命します)
The delegation of authority shall be governed by the provisions on mandate.（権限の委譲は、委任に関する規定に従うものとする）
6) request、ask
A public safety commission may ask a company or other corporation to handle all or part of the administrative processes related to abandonment penalties as prescribed in Article 51-4 (other than checking and confirmation processes, payment orders, demands, and measures to collect arrear.)（公安委員会は、第五十一条の四に規定する放置違反金に関する事務（確認事務、納付命令、督促及び滞納処分を除く）の全部又は一部を会社その他の法人に委託することができる）（道路交通法）この文章に関して言えば、ask自体には、「委託する」の意味合いはないのですが、to以下の「to handle」（処理する、取り扱う）を加えて「～することを求める」＝「委託する」という表現になっています。
Requestも同様な使い方をします。
ところで、これらの単語の意味として「委任」、「委託」に他に「付託」とか「負託」と書かれていることがあります。あらためて国語辞典で意味を確認してみると、例えば、「委任＝仕事などを、他人にまかせること。委託すること」、「負託＝責任を持たせて、任せること」、「付託＝物事の処置などを任せること」とあり、「任せる」という点では共通しています。
「以上、entrust（entrustment）による委託と受託の表現と「entrust」を使用する以外の「委託」の表現と「委託」に準じた表現を持つ単語についてざっと大まかにみてみました。
自分で英文を作成する場合、なれないうちは基本的に「entrust」、「entrustment」を使うのが無難なようです。ただし、その場合でも文脈の流れや、言葉の前後の意味を吟味する必要があります。
