英文契約書の特徴の1つとして時制があります。冒頭の規定、定義条項は、基本的に現在形を使用し、契約の履行にかかわる権利・義務の規定に関して、権利を定める条項は基本的に「may」、「shall have the right」等をの助動詞を使用し、義務を定める条項は基本的に「shall」、「must」、「will」等の助動詞が使われます。なを、冒頭の規定、定義条項を除く英文契約書の全体にわたって「shall」、「must」、「will」が使われているわけでもありません。また、その書き方の特徴の1つとして、その契約に関して発生するであろう様態を列挙して（仮定して）、これらに対する当事者間の権利・義務を規定しますが、その際に、ある様態を挙げる場合、使われるのが「if」、「in the event that」、「in case where」、「in case that」、「in case of」等です。
今回は英文契約書の時制と権利・義務を規定するスタイルについて、作成した例文を通して簡単に見てみます。
１. 定義条項の例
“Business Day” shall be between the hours of 09.00 to 17.00 during any day other than a Saturday, Sunday, Japanese national holidays prescribed in the Act on National Holiday and year-end and new year holidays. （「営業日」とは、土曜日、日曜日、国民の祝日に関する法律に定める日本の祝日、年末年始除く日の午前9時から17時までとする。）
2. 権利を定める文章の例
Either party may terminate this Agreement if: (いずれの当事者も、以下の場合、本契約を解除することができる。)
The Company may assign this Agreement.（会社は、本契約を譲渡することができる）
The parties hereto shall have the right to use subcontractors in the performance of their obligations. （両当事者は、その義務の遂行において、下請業者を使う権利を有する。）
3. 義務を定める文章の例
Obligations specified in the above paragraph must be appropriately executed by the parties.
（両当事者は、前項に規定する義務を適切に履行しなければならない。）
Employee shall immediately report an occurrence of loss or damage due to power failure to his/her supervisor.（従業員は、停電による損失または損傷の発生を直ちに上司に報告するものとする。）
Licensor shall have no liability to Distributor under this Agreement for any loss or damages due to force majeure.（ライセンサーは、不可抗力による損失または損害賠償について、本契約に基づいてディストリビューターに対して責任を負わないす。）
「will」も、「将来～する」ということですが、やはり「shall」、「must」に比べると義務の履行に対する強制力が弱くなる感があるのか、一方当事者が、相手方に対して「will」で記載された部分を「shall」に変えろとの交渉を行うことを見聞していますが、やはりこの辺りは、当事者間の力関係により左右されるようです。
4. その他
許可、禁止等を規定する場合に「may」、「may not」、「shall not」を使う場合が多く見受けられます。
You may only use this Software for your private and non-commercial use.（本ソフトウェアは、私的および非営利目的でのみ使用できます。）
Rights or benefits arising from, or in connection with, this Agreement may not be assigned.（本契約に起因する、または関連する権利もしくは利益は、譲渡できない。）
This procedure shall not be executed by an attorney-in-fact.
（本手続きは委任状による代理人が行うことはできない）
ここにあるのは、権利・義務を規定する代表的なスタイルの一部です。ただし、ブログとしてとりあげるのは、とりあえずこの程度とします。なを、機会を設けていろいろな視点から権利・義務の規定のスタイルについて見てみたいと思います。
