 Common Law 「コモン・ロー、英米法，判例法，慣習法」

特に、制定法（statute law＝議会立法）と区別した判例法（case law）。慣習や慣例を起源とします。英文契約書でよく目にする単語です。「common law」について書かれた多数の文献、解説書があります。興味のある方はどうぞ。

「Equity」は、「Common Law」と共に良く目にする単語です。「エクイティ」または「衡平法」などと訳されます。「コモン・ロー」の不備を補う個別的救済を与えることから開始されていますが、これも詳細は、省きます。

 使われ方について、簡単な例文を作成してみました。

 The parties hereto shall waive their right to assert any common-law indemnification.

（本契約の当事者は、コモン・ローによる補償を主張する権利を放棄する。）

「compensate」、「compensation」とも、英文契約書では、良く使われます。

 compensate damages （損害を賠償する）compensation for damages （損害賠償金）、compensation for expenses （費用の賠償）、compensation for industrial accidents （労災補償）、compensation for mental suffering （精神的損害に対する賠償，慰謝料）、compensation in money（銭賠償）、 compensatory damages （補償的損害賠償）

 簡単な文例を作ってみました。

Compensation and terms of payment for the consultants shall be provided for in the Exhibit 1. （コンサルタントの報酬と支払条件は、Exhibit 1に規定）

Compensation for damages under the Agreement may be claimed based on xxxxx.（本契約に基づく損害の賠償は、xxxxxに基づき請求することができる。）

管轄権を有する，正当な権限の

competent court（管轄裁判所）、competent court of the first instance（管轄第一審裁判）、これらは、英文契約書の「準拠法」条項に多く記載されます。

 簡単な文例を作ってみました。

Any dispute or controversy arising from the parties hereto shall be submitted to the exclusive jurisdiction of the Tokyo District Court of Japan for the first trial. （当事者に起因する紛争または論争については、東京地方裁判所を第一審の管轄裁判所とする）

 そのほかにも、「competent」は、他の語と組み合わされて、ほんの一例ですが、Competent Government agency（主務官庁）とか、court of competent jurisdiction （管轄裁判所）、competent person （適格者）などとして契約書の中で使われているのを見受けます。
