今回は、英文契約書に限らず、一般に契約書でよく使用されている用語である「正当」と「適切」について、その意味と使われ方について契約書翻訳の観点から少し見てみました。まずは、それぞれの意味を調べてみます。
「正当」とは。
「正しく、道理にかなっていること」、「理の当然であること」。法律用語辞典（有斐閣）。例えば、「正当な補償」、「正当な業務」等、その他さまざまに使われます。
この用語を使用する場合は、以下の内容が前提とされるようです。
1．「法律等で正当であると認められている状態にあること」、
2．「ある行為の対象となる側にとって、正当であると受け入れられる状態にあること」
以下の例は、契約書ではありませんが、わかりやすい例として、法律文で使用されている「正当」の例を見てみます。
後見人は、正当な事由があるときは、家庭裁判所の許可を得て、その任務を辞することができる。
A guardian of an adult may, where any justifiable reason exists, surrender his/her office upon the permission of the family court.（民法 第四編第五編）
簡易ガス事業者は、正当な理由がなければ、その供給地点における一般の需要に応ずるガスの供給を拒んではならない。
(1) A Community Gas Utility shall not refuse to supply gas to meet general demand at its service points without justifiable grounds. （ガス事業法）
「適切」」とは
「状況・目的などにぴったり当てはまること」。「その場や物事にふさわしいこと」。例として、「適切に判断する」「適切な表現」、「適切な（適当な）処置をとる」があります。
類義語に「適当」があります。これは、「過不足なく、よくあてはまる」という意に用いることはありますが、「適切」よりも意味に幅があり、また、「ほどよいことをいう場合」もあり、また、「いいかげんな」、「あいまいな」、の意味で使用される場合もあります。例としては、「適当に選ぶ」「適当にごまかす」等。
以下は、法律文で使用されている「適切」の例です。
公的統計は、適切かつ合理的な方法により、かつ、中立性及び信頼性が確保されるように作成されなければならない。
Official statistics shall be produced with appropriate and reasonable methodologies, so as to ensure neutrality and reliability.（統計法）
適格消費者団体は、不特定かつ多数の消費者の利益のために差止請求権を適切に行使しなければならない。
A qualified consumer organization shall exercise its right to demand an injunction properly for the interests of many unspecified consumers.

英文契約書を翻訳する際に、用語「正当」と「適切」に対応する英語をいくつかあげてみます。
「適正な」は、appropriate、proper、right、just、reasonable、legitimateなどがあります。appropriate、properは、「適正な」と「適切な」のいずれにも使用することができます。
「適切な」は、一般的に、appropriate、proper などが使われますが、その他に、adequate、を使用することもあります。
これらは他の語と組み合わさって、例えば以下のような意味の用語となります。（他にもいろいろあります。）
justifiable reason 正当な理由
without any justifiable reason 正当な理由なく
reasonable assurance 合理的な保証（正当な保証）
