英文契約書における独特の用語、構文について、今回は、「free from」、「in duplicate」、「whereof」です。
1. 「free from….」（～がない）
良く使用される代表的な慣用表現です。意味としては、「～がない」です。いろいろな場面で使われます。例えば、以前「売買契約」を構成する条項の1つ「Sample」（見本）について作成した以下の例文があります。技術文や日常的な文章でも使用されます。
「The Products to be delivered hereunder shall be free from defects and faulty materials and correspond with any sample and conform to any description, instructions, specifications and other conditions agreed between the parties 」（本契約に基づき引き渡される製品は、瑕疵がなく、材料にも欠陥がなく、サンプルと一致し、説明書、指示書、仕様書および両当事者間で合意したその他の条件に準拠する（抄訳））
見て通り、この例文では、「The Products to be delivered hereunder shall be free from defects and faulty materials （……………製品は、瑕疵がなく、材料にも欠陥がなく）」のように使用されます。これも製品についてですが、「The Products shall be free from defects in material and workmanship……………」（材料と仕上がりに関していかなる瑕疵もないこと）
そのほかにも、「Payments shall be made by bank transfer to Party B’s account free from any charge」（支払いは、手数料なしに、Bの口座に銀行間振替で行われる）
「This real estate shall be free from defects in title」（本不動産には、所有権に瑕疵がない）。
契約書に限らず「～がない」という意味では、枚挙にいとまがないほど、いろいろな例があり、多く使用されます。ほんの一例ですが、「No one is free from faults」（欠点のない人はない）とか、「He is free from care」（苦労がない）「He is never free from care」（苦労がないはずがない）とにかくいろいろあります。「free from….」（～がない）は、使い方を覚えると、とても便利な用語です。
2. 「whereof」
これも英文契約書の末尾で良く見かける用語です。契約書の場合は、「本契約の＝of this Agreement」です。
例えば、「IN WITNESS WHEREOF, the parties hereto have executed this Agreement …………」（本契約を証するために、本契約の両当事者は…………）と英文契約書の結びの冒頭で使われます。
3. 「in duplicate」（正副2通（部）に/2部）
「in duplicate」の使い方の1つとして、例えば、上記のように英文契約書の結びの部分で、「the parties hereto nave caused this Agreement to be executed in duplicate by their duly authorized representatives.」（本契約を証するために、本契約の両当事者は,正式な代表者により正副2通に署名し、本契約を発効させた。）のように使われます。
時たまみかけますが、3者間の契約では、「 to be executed in triplicate by their duly authorized representatives.」となります。
その他、英文契約書に限らず、契約では、各種書類を用意し、またそれらを提示する旨の記載があります。このときに、「in duplicate」、「in triplicate」の使い方の1つとして必要とされる書類の部数を表すのに、使用されることがあります。
「Party A shall submit commercial invoice in duplicate……….」（当事者Aは、商業送り状を2部提出する）
「The technical documents should be submitted in triplicate」（技術文書は，3通提出しなければならない）
もちろん、「in duplicate」、「in triplicate」を使わずに、例えば、「Two original copies of the Agreement shall be signed………」（本契約原本2通に署名し………）などもあります。
