「This Agreement constitutes the entire agreement, and supersedes, whether orally or in writing, all prior agreements and understandings of the parties hereto with respect to the subject matter hereof, and cannot be amended or otherwise modified except in writing executed by the parties hereto.」
本契約は、最終的合意を構成し、口頭・書面によるものを問わず、本契約の主題に係わる本契約の両当事者間のすべての以前の合意と了解に優先し、また、本契約の両当事者が署名した書面による場合を除き、修正、または他の方法により変更することはできない。
「Force Majeure means any event caused by occurrences beyond a party’s reasonable control, including, but not limited to, acts of God, fire or flood, earthquake, war, terrorism, labor dispute, pandemic, system malfunction, governmental regulations, policies or actions enacted or taken subsequent to execution of this Agreement, or any labor, telecommunications or other utility shortage, outage or curtailment.」
不可抗力とは、天災、火災もしくは洪水、地震、戦争、テロ、労働争議、流行病、システムの機能不良、本契約の締結後に制定された、もしくは講じられた政府の規制、方針もしくは法的措置、または労働、通信もしくは他のガス電気水道等の公共事業の供給不足、停電もしくは供給の削減を含み、これらに限定されない、当事者の合理的な管理能力を超えて発生した事象を意味する。
「The effective term of this Agreement shall be the one (1) year period from MM DD 20XX; provided, however, that, if neither of the parties hereto notifies the other party, in writing, of its intent to terminate this Agreement at least six (6) months prior to the expiration of the term hereof, this Agreement shall be renewed for another one (1)-year period and the same shall apply thereafter.」
本契約の有効期間は、20XX年XX月XX日から1年間とする。ただし、本契約の両当事者のいずれも、本契約の期間の満了の少なくとも6ヵ月前に、本契約を解除したい旨を書面により相手方に通知しない場合、本契約は、さらに1年間更新され、その後も同様とする。
