契約書翻訳の観点から「例外」を表す一般的な単語・用語について簡単にまとめてみました。英文契約書で「例外」を表す場合に用いられる一般的な単語・用語として「unless」と「except」があります。いずれも以前とりあげた内容ですが、「unless」と「except」を個別にとりあげ、また各々を取り上げた時期に相当な開きがあります。
1. unlessについて
例外を表す単語として単体に使われるほか（例：「～でない限り」、「もし～でなければ」、「〜を除いては」、「ただし〜の場合を除く」等）、特にotherwiseと組み合わされて成句を作り、独特の使われ方をする場合があります。
Unless the context otherwise requires, words importing the singular include the plural and vice versa, words importing a gender include every gender. （文脈上他の意味に解すべき場合を除き、単数を意味する文言は、複数を含み、逆も同様であり、性別を意味する文言は、すべてのその他の性別を含む。）
Payment shall be made in US Dollars unless otherwise stated in the Purchase Order. （注文書にその他記載する場合を除き、支払いは米ドルとする）
Unless otherwise provided for by the laws and regulations, shareholders shall have the stock purchase right.（株主は、法令に定める場合を除いて、新株について引受権を有する）
2. exceptについて
unlessとともに「例外」を表す場合に用いられます。「except〜（〜を除いて）」のほか、他の語と組み合わされて成句として使われます（例：except + 動詞の原形「～する以外は」、except + to 動詞の原形～「～する以外は」、except for：「～を別にすれば、～以外の点では」、except from「～から除外する」、except that～「ただし、～を除いて＝unless」、except where～「～の場合を除き」、except when「～の時以外は、～の時を除き」except as「〜を除き」等）
Except as set forth in this Article, the Seller shall not disclose any and all information provided by the Buyer. (本条に規定する場合を除き、売主は買主から提供されたあらゆる情報を開示しない)
そのほか、よく目にするのは、「Except as otherwise」のパターンです。
Except as otherwise provided herein, neither party may unilaterally terminate this Agreement.（本契約によりその他特段の定めがある場合を除き、いずれの当事者も、一方的に、本契約を解除することはできない。）
Except as otherwise provided for in this Agreement, either party hereto may continue to hold its own title for its existing rights, privileges, powers, licenses, permits and intellectual property rights of whatever nature. (本契約に別段の定めがある場合を除き、本契約のいずれの当事者も、既存の権利、特権、権限、ライセンス、許可、およびいかなる性質の知的財産権についても引き続き独自の所有権を保持することができる)
これは、「unless otherwise」を使い「Unless otherwise provided for in this Agreement,」とすることもできます。
