今回は、英文契約書で「責任」や「義務」を意味する言葉のいつくかを作成した例文を通して（法律の条文を除く）を見てみます。いずれもいわゆる「責任」や「義務」を意味する言葉です。ここに記載した意味は、いずれも英文契約書で使われる場合の主な意味です。もちろん英単語の常としてここに書いた以外にも様々な意味を持ち、他の語と組み合わされて様々な成句を作ります。なを、いつものとおり契約書翻訳の視点から見たものです。
| Responsibility | 責任、使命、債務、任務、義務、債務の返済能力
形容詞形は、responsible：責任がある、責任を負うべき、～の原因である |
「責任」を意味する代表的な言葉です。「当然果たすべき責任・義務」の意味合いがあります。
The Contractor shall maintain working capital to require for fulfilling its responsibilities under this Agreement. （請負業者は、本契約に基づくその責任を果たすために必要な運転資金を維持する）
Loss or damage, which results from Seller’s non-conforming preservation, packaging, crating or containerization, shall be the responsibility of Seller. (売主による不適切な保管、梱包、箱詰、またはコンテナ化に起因する損失または損傷は、売主の責任となる)
どちらかというと「be responsible for 」の形式で例えば、以下のように使われるケースも一般的で、よく知られている使い方です。
The user is responsible for using the latest version of this software. （ユーザーは、本ソフトウェアの最新バージョンを使用する責任がある）
The Company will be solely responsible for all aspects of transactions with End Users. (当社は、エンドユーザーとの取引のすべて面について単独で責任を負う。)
| Obligation | 義務、責任、債務、債券、動詞は「obligate」 |
ここでは義務、責任という意味も持ちますが、その中でも「強制力のある義務」、例えば「債務：債務者が債権者に対して一定の行為をする（給付）をすることを内容とする義務」等の意味でも多く使われます。ちなみに英和辞典には「慣例、習慣、礼儀作法を守るため、約束や協定を実行するために人が行わなければならないこと」とあります。
The responsibilities and obligations of the Contractor related to this Service shall be set forth in the Exhibit of this Agreement. （本サービスに関連する請負業者の責任と義務は、本契約の別紙に記載されている）
In performing its obligations under this Agreement, the Contractor shall perform the services stipulated in this Agreement. (本契約に基づくその義務の履行において、契約者は本契約に規定するサービスを行う)
If all obligations are due, or none of the obligations are due, the applicable performance shall be allocated in the order of the obligations which shall result in more benefit to the obligor when performed;（すべての債務が弁済期にあるとき、又は弁済期にないときは、債務者のために弁済の利益が多いものに先に充当する。）（民法）
| Liability | 法的責任、責務、債務、義務、負債 |
義務、責任という意味も持ちますが、（損害・負債・支払いなどに対する）法的責任，責務の意味合いもあります。例えば、liability for damage（損害賠償責任）など。例文にはありませんが、保険に関する事柄が記載されている契約などでも多く見受けられます。なを、「損害賠償」については、「英文契約書の用語・単語 損害と損害賠償の表現（その1）とその」(2)」を参照してください。
The Seller, in its sole discretion, may terminate this Agreement without any liability whatsoever.（売主は、その単独の裁量で、いかなる責任もなしに、本契約を解除することができる。）
The Customer may revoke the whole or any part of this Agreement, without penalty or liability to or by Customer by giving written notice of termination to the Contractor. （顧客は、請負業者に解約通知を送付することにより、顧客に対する違約金または顧客による法的責任を負うことなく、本契約のすべてもしくは一部を解約することができる。）

英和辞典には「良心、忠誠心、法律に従って人が行うべきこと、または避けること」とあります。「人として当然に行うべきこと、または避けるべきこと」のようです。
He performs his duty. （義務（職務）を果たす）
He neglects his duty. (義務（職務）を怠る）
The Contractor shall perform his/her duties to the best of his/her abilities and shall comply with all laws and regulations related to the services under this Agreement.（請負業者は、その職務を全力を尽くして（全力で）遂行し、本契約に基づくサービスに関連するすべての法律および規制を順守する）
If a person who has received a testamentary gift with burden does not perform the duty imposed thereby, an heir may demand performance of that duty fixing a reasonable period to do so. (負担付遺贈を受けた者がその負担した義務を履行しないときは、相続人は、相当の期間を定めてその履行の催告をすることができる。)（民法）
1つ1つの言葉を辞書で丹念に見てゆくと、それぞれの使いどころが感覚的につかめるようになります。辞書としては、取り扱いが面倒で場所もとりますが、やはり紙ベース辞書がおすすめです。義務や責任を表す言葉には、上記の他にもありますが、正確な翻訳には文脈に応じた単語の使い分けが求められます。
