英文契約書でよく使われる単語の中から今回は、「establish」と「exclusive」を契約書翻訳の観点から取り上げてみました。
1. establish
色々な意味がありますが、英文契約書や法律文書で良く目にする用法としては、「（会社・法人等など）を設立する・開設する」、「（法律など）を制定する」、「（担保権）を設定する」、「（計画など）策定する」、「実証する/確証する」等で使用されているようです。
Our company was established in 1993. （当社は、1993年に設立された）
A person seeking to establish an incorporated association must prepare articles of incorporation and include in it the following particulars:（社団法人を設立しようとする者は、定款を作成し、次に掲げる事項を記載しなければならない）（民法）
There is quite a lot of work required to build an event and establish the initial communication campaign, however once set up, it is run daily without human intervention.（イベントの構築および初期の広報キャンペーンの確立のためには、極めて多くの作業が必要となるが、一度立ち上げてしまえば、人間が介入すること無く、日常的に機能していく）
Party X may establish a security interest on its property （当事者Xは、その資産に担保権を設定する）
「担保」という言葉は、security、 mortgage、 guarantee、collateral等、異なる用語で使用されます。個々の意味については、別の機会にします。
なを、「establish」の用法ではありませんが、「～を担保に供する」という表現が一般でも使われます。一例ですが例文を作ってました。
This Agreement shall be for providing the Share Certificates, etc. as a collateral（本契約は、株券等を担保として提供するものとします。）この他にも様ざまな表現があります。
2. exclusive
一般に「排他的」、「独占的」、「唯一の」などの意味で使われます。さて、ここでは一般的な使い方を見てみます。
特定の事に限定するという意味：
for the exclusive use of members. （メンバー専用）
an exclusive interview（独占インタービュー）
an exclusive private club（専用プライベートクラブ）
exclusive to the stores.（店舗限定）
an exclusive economic zone.（排他的経済水域）
exclusive of xxxで、xxxを除くという意味：
exclusive of tax（税抜きで）
相互に排他的という意味：
mutually exclusive（共存しない、一方のみが、互いに矛盾する、相互に排他的、相容れない）
英文契約書や法律文書でも、多くはこれらの意味で使用されます。
経験的にan exclusive agreement/contract/deal、exclusive rights/an exclusive licenseなどが契約書では良く使用されます。
例文を作ってみました。
Either party shall have the right to request the dispute to be finally settled by arbitration in accordance with the Rules for expedited arbitrations of the Arbitration Institute of the XXX Chamber of Commerce.（いずれの当事者も、XXX商工会議所の仲裁機関の簡易仲裁の規則に従い、最終的に仲裁により当該紛争を解決することを求める権利を有する。）
Licensor is the sole and exclusive owner of the copyright and all like rights for the Licensed Territory in the products;（ライセンサーは、製品に関し許諾地域における著作権と同様なすべての権利に係わる唯一かつ排他的な所有者である。）
Company A shall sell the Products to Japan on an exclusive basis for use in the Application under the terms and conditions set forth herein. （A社は、本契約に規定の条件に基づき本アプリケーションの独占的使用において本製品を日本において販売する）
