英文契約書翻訳に携わる中で、経験上、よく目にしたり、よく使われたり、または知っておいて損はないと思われる単語と用語について、契約書翻訳の観点から簡単な例文を作成してその用例（一部ですが）を見てみます。
今回は、「dividend」と「due」について見てみます。
1. dividendについて
契約書の用語というより、ビジネス、証券、金融、会計、その他株主総会議事録、取締役会議事録、会社定款等の多くの分野で一般的に使用されています。この場合、多くは「（株式・保険金）の配当・利益配当」の意味として使われます。他の単語との組み合わせで各種の配当の種類・様態を表します。
例：reserved dividend（積立配当）、unpaid dividend（未払配当）、interim dividend（中間配当）、dividend increase（増配）、dividend decrease（減配）、ex dividend（配当落ち）dividend payer（有配株）、non-dividend payer（無配株）等。いずれにしても、知っておくべき用語の1つです。なを、「利益の配当」の意味では、dividendのほか、distribution of profits、profit sharing、profit participation等もあります。
We may pay interim dividend for shareholders recorded in register of shareholders as of September 30 in every year based on the resolution of the board of directors.
（取締役会の決議に基づき毎年9月30日現在の株主名簿等に記載された株主に中間配当を行うことができる。）
The company determines to pass dividend for this term. （会社は、今期の配当見送りを決定）
上記のように2例ほど例文を作成しましたが、いずれにしても「株式の配当」の意味では、多くの場合、「dividend」が使用されます。
2. dueについて
満期の、支払期限の来た、（～に）当然支払されるべき、（～に）期すべき、正当な等の意味で使用されます。他の語と組み合わされ、due act（相当の行為）、due care（相当な注意）、due date（支払期日、満期日）、due care（相当な注意）、due diligence（相当な注意）、
due process（適正なプロセス）、due reason（適正な理由）等の意味で使用されます。例えば、
If the Lessee does not pay the rent in the due date, the unpaid outstanding amount will be subject to an overdue interest of one (1) percent per month.
（賃借人が新借料を期日に支払わない場合、未払い残高に対して1カ月につき1%の延滞利息が課せられる。）
The Contractor shall at all times exercise due care in the performance of its obligations under this Agreement:
（請負人は、本契約にもとづくその義務の履行において、常に、以下に関して相当な注意を払う。）
英文契約書に出てくる単語として、知っておくべき単語の1つです。
